Beracha Solicitors is engaged in general legal consultancy with a bias for commercial law practice. The firm consists of lawyers duly licensed to practise in Nigeria as Solicitor Advocates and Notary Public, who have over fifty (50) years of cumulative experience in law practice in Nigeria.

We are engaged in dispute resolution and have represented clients in various dispute resolution fora, including litigation before all superior courts of record in Nigeria — the Supreme Court, Court of Appeal, Federal High Court, National Industrial Court, and the High Courts of several States.

We are proficient in drafting, review, vetting and interpretation of business documents including contracts and agreements, as well as the perfection of conveyances, leases and other agreements concerning property including land. Our competence extends to advisory services on Environmental, Petroleum and Aviation law and development.

The Firm offers premium services with a flexible approach developed on a continuous basis to satisfy the specific needs of our Clients. Capital Markets & Corporate Transactions

2014

Merger of Planet Capital Limited, Emerging Capital Limited, and Strategy & Arbitrage Limited into a single entity, Planet Capital Limited.

2010–11

Merger of AIICO Insurance Plc, AIICO General Insurance Company Limited, and AIICO Asset Management Company Limited into a single entity AIICO Insurance Plc by a Scheme of Arrangement.

2009

Solicitors to the Offer in the ₦6 Billion Redeemable Infrastructural Development Bond 2009/2014 floated by the Niger State Government.

2008

Legal due diligence audit for the private placement of ₦3 Billion shares of Equity Life Insurance Company Limited. Also served as Solicitors to the initial public offer of Daar Communications Plc.

Insolvency & Regulatory Work

2011–12

On behalf of the Nigeria Deposit Insurance Corporation (NDIC), commenced and concluded the winding-up of:

Prior Engagements — Managing Counsel

Transactions in which Ogechi C. Ogbonna, SAN was involved as part of transaction teams prior to founding Beracha Solicitors.

2005

Part of the legal team in the merger of Standard Trust Bank Plc (STB) and United Bank for Africa (UBA). Also advised on the merger of Habib Bank and Platinum Bank Plc to form Bank PHB, and conducted due diligence on Afribank Nigeria Plc for its proposed merger with Habib Bank Plc.

2005

Legal adviser to First Bank Nigeria Plc on the acquisition and restructuring of its subsidiaries by the parent bank.

2004–5

Legal adviser to Financial Derivatives Company Limited (Financial Advisers to the Federal Government) on the establishment of the new national flag carrier Virgin Nigeria Airways Limited — including review of technical and management service agreements and negotiation.

2004

Solicitor to the Lenders' Agent — United Bank for Africa (UBA) — in the ₦15 Billion loan syndication for Mtel by a consortium of banks led by UBA.

2006

Legal advisory services to Trustfund Pensions Plc on options for transferring NSITF pensions assets and liabilities.
